2.3Op 12 december 2023 is tussen [gedaagde] en STR Trading een ‘
Settlement Agreement’ (hierna: vaststellingsovereenkomst) tot stand gekomen. Deze strekt tot beëindiging van de arbeidsovereenkomst met wederzijds goedvinden per 30 november 2023. In die vaststellingsovereenkomst, waarin met “
Employee” wordt bedoeld [gedaagde] en met “
Employer” STR Trading, staat onder meer het volgende:
“(…).
4. After the signing of this Agreement the Employee shall refrain from defaming, disparaging or criticizing the Employer, including but not limited to its Director of the Employer, or the management of the Company.
(…)
9. The Employee and the Employer agree that after the signing of this Agreement the Employer and the Employee shall keep the information in connection with this Agreement and the reasons for the termination of the Employment Agreement strictly confidential, unless so required by law or any official authority in Aruba.

14.Non-disclosure Clause:
Confidentiality and non-disclosure
a. The Employee agrees that all information, data, trade secrets, documents, records, photographs, videos, or any other materials related to the Employer's business, including but not limited to its operations, customers, suppliers, employees, financial information, products, and processes, whether in written, electronic, or any other form, are and shall remain the exclusive property of the Employer.
b. The Employee shall not, at any time during or after the termination of this Agreement, disclose, disseminate, or make available to any third party, without the prior written consent of the Employer, any information that the Employee has acquired or become aware of during employment with the Employer or days leading up to this Agreement.
c. The Employee specifically agrees not to distribute or disclose any camera videos, pictures, or other media captured or created during the Employee's employment with the Employer to any third parties without the express written consent of the Employer.
d. The Employee acknowledges that any breach of this confidentiality and non-disclosure clause may result in legal action and monetary damages against the Employee.
15. By signing this Agreement, the Employee declares that the Employee has read and understood this Agreement, has had a reasonable time to consider the terms and conditions of this Agreement and has consulted an advisor.
