2.4. Op 30 oktober 2008 hebben Nike en [A] Marketing een sponsorovereenkomst (Football Player Contract, hierna: de Sponsorovereenkomst) gesloten met een initiële duur van 1 augustus 2008 tot en met 31 juli 2012. [A] heeft een persoonlijke garantie ondertekend die aan de Sponsorovereenkomst is gehecht, waarin hij garandeert dat [A] Marketing haar verplichtingen op grond van de Sponsorovereenkomst kan nakomen en dat hij persoonlijk alle verplichtingen zal vervullen die hij op grond van de Sponsorovereenkomst dient te verrichten, waaronder het spelen op Nike gemerkte voetbalschoenen tijdens wedstrijden, trainingssessies en clinics. De Sponsorovereenkomst bevat, voor zover relevant, de volgende bepalingen:

H. (…) This Contract and any matters arising out of or in connection with it or its subject matter is governed by and construed in accordance with the law of the Netherlands. Each party hereby irrevocably agrees that the courts of Amsterdam have exclusive jurisdiction over any substantive or interim proceedings, claims or matters arising out of or in connection with this Contract and/or its subject matter (…).

8. RIGHT OF FIRST DEALING & RIGHT OF FIRST REFUSAL

b) During the Contract Period and for a period of one hundred eighty (180) days thereafter, NIKE shall have the right of First refusal for Endorsement/Services, as follows: if COMPANY ([A] Marketing, vzr.) receives any bona fide third-party offer at any time on or after the Exclusive Negotiating End Date with respect to any Endorsements/Services, COMPANY shall submit to NIKE in writing the specific terms of such bona fide third-party offer in its entirety in the form of a true and complete copy which shall be on the offeror’s letterhead or other identifiable stationery or imprint readily authenticatable by NIKE as having originated from such third-party offeror. NIKE shall have twenty (20) business days from the date of its receipt of such true copy of the third-party offer to notify COMPANY in writing if it will enter into a new contract with COMPANY on terms no less favorable to COMPANY than the material, measurable and matchable terms of such third-party offer. If NIKE so notifies COMPANY within such twenty (20) business day period, COMPANY shall enter into a contract with NIKE on the terms of NIKE’s offer. (…)

12. REPRESENTATIONS, WARRANTIES, ETC: COMPANY represents, warrants and undertakes to NIKE that:

d) During the Contract period, COMPANY shall not and shall ensure PLAYER ([A], vzr.) shall not: (i) promote, sponsor or endorse Products designed, licensed, manufactured, branded or sold by or on behalf of any person or entity other than a member of the NIKE Group; (ii) wear and/or use Products designed, licensed, manufactured, branded or sold by or on behalf of any person or entity other than a member of the NIKE Group (...)

24. ENTIRE CONTRACT: This Contract constitutes the entire understanding between the COMPANY, PLAYER and NIKE and may not be altered or modified except by a written agreement, signed by both parties. (…)”
