2.7.Wel hebben beide partijen op 12 juni 2024 – kort voor de eerste live-uitzending van [eiseres] bij QVC – een zogenoemde ‘Letter of Intent’ (hierna: de overeenkomst) ondertekend. Partijen zijn daarin, voor zover nu relevant, het volgende overeengekomen:

We are pleased to present you with a Letter of Intent to be entered into between Ms. [eiseres] and NutraLinea B.V. This agreement sets forth a basis for our future collaboration and includes clear agreements and conditions that take into account the interests of both parties. We are confident that this Letter of Intent lays the foundation for a successful and long-term partnership.
Ms. [eiseres] works independently as a TV expert in the field of teleshopping and is the self-employed invoicer. The agreement has a duration of 3 years with an option for an additional 2 years. Both parties may terminate the contract three months prior to expiration.
Ms. [eiseres] receives exclusivity as a guest on QVC, which precludes her from appearing as a guest, expert, or consultant for other teleshopping channels and providers of dietary supplements. Ms. [eiseres] operates her own brand ( [website] ) online, which she either continues independently or sells through NutraLinea. She will also appear in mix hours on QVC, in coordination with NutraLinea and QVC. Compensation for this does not come from NutraLinea.
Billing will be based on monthly turnover, including travel time and preparation measures. NutraLinea will cover travel expenses such as hotel, flight, taxi, and airport parking, either as a lump sum or upon submission of expenses. Returns will be deducted from the commission.
If another expert participates during Ms. [eiseres] ’s hours for training purposes, Ms. [eiseres] will still receive 100% of the commission, without sharing. A replacement will only be used if Ms. [eiseres] is prevented and the already planned hours cannot be rescheduled but would be canceled. Ms. [eiseres] will conduct all planned on-air hours during the contract period. She will receive the commission for products sold outside of the broadcast date with backup (e.g. online purchases due to presentation videos with Ms. [eiseres] ).

⦁ TAG + items are not TAG items and are paid at 2%
⦁ Bonus of €3,000 if TAG items sell out 100%
⦁ Bonus of €1 ,200 if TAG items sell out 95%
⦁ Other items except TAG items on the TAG day: 2%
⦁ Extra/occasional (half TAG): 2%
⦁ Regular homeshow items: 2%
⦁ Monthly advance payment on commissions (only if Ms. [eiseres] also fulfills the hours): €8,000

⦁ In case of illness or unfortunate occupational incapacity, Ms. [eiseres] has no entitlement to compensation.

⦁ 1 day with homeshows with a turnover of €250,000 each
⦁ Total planned net turnover after RTV for 2024: €6,162,000
⦁ Based on projected turnovers, a projected income of €100,000 for 2024 is forecasted by Frank [naam] .
