Partijen worden hierna Soniq Force, [gedaagde 1] en [gedaagde 2] genoemd. [gedaagde 1] en [gedaagde 2] worden gezamenlijk aangeduid als gedaagden.

1.waar gaat de zaak over?

Volgens Soniq Force heeft [gedaagde 1] een octrooiaanvraag in de Verenigde Staten op naam van Soniq Force ten onrechte gewijzigd in een octrooiaanvraag op zijn eigen naam. Soniq Force stelt dat [gedaagde 1] en [gedaagde 2] in strijd met tussen partijen gesloten overeenkomsten handelen door de uitvinding uit de octrooiaanvraag te exploiteren en/of derden dat te laten doen. De octrooiaanvraag ziet kort gezegd op Supersonic Drying (SSD), een technologie om vocht aan organische en niet-organische materialen te onttrekken.

2.De procedure

2.1.

Het dossier bestaat uit de volgende stukken:

de twee dagvaardingen en een herstelexploot naar aanleiding van de dagvaarding van [gedaagde 1] ,
de producties 1 tot en met 36 van Soniq Force,
de producties 1 tot en met 16 van gedaagden,
de pleitnota van gedaagden.

2.2.

Op 17 oktober 2023 heeft de mondelinge behandeling van de zaak plaatsgevonden.

3.De feiten

3.1.

[gedaagde 1] en [persoon A] zijn gezamenlijk uitvinders van een procedé om vocht te onttrekken aan organische en niet-organische materialen.

3.2.

[gedaagde 1] is zelfstandig bevoegd bestuurder van Dijkwal Management BV. Dijkwal Management BV is zelfstandig bevoegd bestuurder van [gedaagde 2] sinds 1 mei 2022. [persoon A] is enig aandeelhouder en zelfstandig bevoegd bestuurder van Windbox BV. Windbox BV en Dijkwal Management BV zijn ieder zelfstandig bevoegd bestuurder van Een Mooie Dag BV.

3.3.

Op 9 augustus 2019 hebben [gedaagde 2] en het Amerikaanse bedrijf BIO 520 LLC een overeenkomst gesloten. Deze overeenkomst met de titel Letter of Commitment and Grant of Rights (hierna: de LoC) is namens BIO 520 ondertekend door [persoon B] . Namens [gedaagde 2] heeft [gedaagde 1] getekend.

3.4.

In de LoC staat onder meer:

“Supersonic drying technology (SSD) has been developed in the Netherlands by [gedaagde 2] (" [gedaagde 2] " or the "Company"). The technology has proven to be effective for a variety of commercial and industrial purposes. These potentially include, but shall not be limited to, drying of

harvested crops and crop biomass waste; processing livestock and poultry waste; pulverizing rocks for the extraction of ores and minerals; production of powdered coal, cement and construction materials; water treatment and desalination.

The Company is now engaged in the business of SSD equipment manufacture and sales and is actively filing for design, application and utility patent protection ("SSD IP") in the US, Canada, EU and other countries. The principal patent law firm providing legal services to the Company reports a high level of confidence that several patents will be granted.

Patent rights will be held by a separate Dutch company Een Mooie Dag B.V. (EMD BV). This entity will grant [gedaagde 2] the exclusive and worldwide rights to build, sell and sublicence the products based on the SSD IP. The rights shall be granted irrevocably for the life of the patent(s), and any extensions thereof.

The BIO 520 LLC Company requires one x 2-ton SSD unit to use as a demonstrator for the 2019-2020 season hemp harvest in Oregon, USA and for other demonstrations and trials. The principal objective is to test on hemp drying and to determine the ability of the SSD unit to concurrently extract CBD oils from hemp at harvest and post-harvest. BIO 520 LLC will also arrange tests in the U.S. on fruits, berries, nuts, ore extraction, pulverization of mineral-bearing rocks, desalinization, animal waste disposal and solid waste disposal. All results will be

shared with [gedaagde 2] Reciprocally, [gedaagde 2] will share the results of any/all of its own tests with BIO 520 LLC.

BIO 520 LLC has approved the funding to purchase one x 2-ton per hour SSD unit from [gedaagde 2] to serve as a Demo unit in the Territory. The SSD unit will be designed to be transportable on a standard truck or trailer. The Purchase Price, including generator, essential spare parts and feeder/hopper is agreed at $425,000 USD. Delivery will be FOB the Dutch production facility.

4. Een Mooie Dag B.V. (EMD BV) for [gedaagde 2] has filed, and shall continue to file, patent applications via the law firm of [persoon C] at Moffat Co in Ottawa, Canada.

8. The parties agree to form a U.S. "Newco", e.g., [gedaagde 2] , Inc (or LLC).

9. Een Mooie Dag B.V. (EMD BV) for [gedaagde 2] agrees to grant "Newco" the exclusive rights with respect to the Territory for the above consideration ($425,000), plus an ongoing License Fee to be paid by "Newco", and/or

"Newco Leasing" as set forth below. The license Fee will consist of a percentage of the annual sales of "Newco" and/or "Newco Leasing" to be agreed between the parties.

19. The parties agree that a comprehensive Agreement between the parties shall be prepared and executed no later than the first week of November, 2019 following the successful testing of the demo SSD unit in the Territory. Such Agreement shall supersede this Letter of Commitment and any prior written or oral agreements between the parties. Such Agreement shall be constituted under the laws of the State of California.”

3.5.

[gedaagde 1] heeft op 29 augustus 2019 een provisionele internationale octrooiaanvraag ingediend in de Verenigde Staten.

3.6.

Op 13 februari 2020 is Soniq Force opgericht volgens het recht van de staat Wyoming. “Members” van Soniq Force zijn [gedaagde 1] , [persoon D] en [persoon B] .

3.7.

Op 28 augustus 2020 heeft Soniq Force bij de World Intellectual Property Office (hierna: de WIPO) de octrooiaanvraag onder de Patent Cooperation Treaty (PCT) ingediend.

3.8.

Tot de gedingstukken behoort een geschrift gedateerd 12 september 2020, waarvan de tekst luidt:

“
WORLDWIDE ASSIGNMENT

WHEREAS, WE:

[gedaagde 1]

[adres 1] , [postcode 1]

[woonplaats 1] , The Netherlands

and

[persoon A]

[adres 2] , [postcode 2]

[woonplaats 2] , The Netherlands

(Collectively the "Inventors")

have invented a
SUPERSONIC DEHYDRATION AND DISINFECTION SYSTEM AND METHOD(the "Invention") described and claimed in US Provisional Patent Application No. [nummer 1] (the "Provisional Application") filed on August 29, 2019, and certain additional modifications and improvements thereto (collectively the "Improvements") described and claimed in International Patent Application No. [nummer 2] (the "PCT Application") filed August 28, 2020;

AND WHEREAS,
Een Mooie Dag B.V., ("EMD") a company organized under the laws of The Netherlands, having a place of business at [adres 1] , [postcode 1] , Rotterdam, The Netherlands, is the owner of the entire right, title and interest in and to the Invention and the Provisional Application by virtue of an assignment of the same from the Inventors dated August 9, 2019;

AND WHEREAS,
SoniQ Force, LLC, a company organized under the laws of the State of California, having a place of business at 755 Jarvis drive, Morgan Hill, California, 95037, USA, is desirous of acquiring the full and exclusive right, title and interest in and to the said Invention, the Improvements, the Provisional Application and the PCT Application (individually and collectively the "Rights"), inclusive of all ancillary rights relating thereto, any and all priority rights derived therefrom, and all patents, design registrations, utility model registrations and other forms of intellectual property protection, rights and titles relating to said Rights, in any country or countries and in respect of the whole or any part or parts of or improvements to the

Rights;

NOW THEREFORE, for valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Inventors and EMD (the "ASSIGNORS") do hereby confirm that the ASSIGNORS have transferred, conveyed and assigned, and by way of further assurance do hereby transfer, convey and assign, any and all of the ASSIGNORS' respective rights, title and interest in and to the Rights, any further applications for patent, design registration, utility model Page 1 of 3 registration or other forms of intellectual property protection, rights or titles for the whole or any part or parts of or improvements to the Rights in any country or countries ("Further Applications") together with the right to file divisional applications, substitute applications and continuation applications of any one or more of the Rights and any Further Applications, the right to obtain patents, design registrations, utility model registrations and all other forms of intellectual property protection, rights and titles relating to the Rights; and the right to obtain any extensions, supplementary protection certificates ("Extensions"), together with the right to bring proceedings to recover damages and/or to obtain other remedies for acts committed in respect of the Rights and any Further Applications, Divisionals and Extensions, whether such acts are committed before or after the date of this Worldwide Assignment; with the intent that the Rights, any Further Applications, Divisionals and Extensions are owned and enjoyed by ASSIGNEE

absolutely to the full end of the term or terms for the same.

The ASSIGNORS, and each of them, do hereby agree, upon request by the ASSIGNEE or its agents or attorneys, to provide assistance and to execute any and all further documents which may be necessary or desirable to enable the ASSIGNEE, and/or its successors and assigns (as applicable), to file, prosecute, bring proceedings and take other actions with respect to any and all of the Rights, Further Applications, Divisionals and Extensions, and any and all patents and registrations granted thereon and other forms of intellectual property protection, rights and titles relating thereto, and the ASSIGNORS further agree to execute, upon request by the

ASSIGNEE or its agents or attorneys, any and all further documents which may be necessary or desirable to vest or perfect the title of the ASSIGNEE therein.

The ASSIGNORS, and each of them, do hereby authorize the ASSIGNEE or its patent agents or attorneys to insert, above or as a Schedule hereto, the jurisdictions, application numbers, filing dates and any other indicia identifying the Rights or any Further Applications when such information is available and/or required for the purpose of recording this assignment.

THIS WORLDWIDE ASSIGNMENT shall be effective from and upon the date executed by the ASSIGNORS, or the last of them, and shall inure to the benefit of the ASSIGNEE and its successors and assigns, and shall be binding upon the ASSIGNORS, and each of them, and their successors and permitted assigns.

DELIVERY of this Worldwide Assignment by copy, however transmitted, constitutes valid and effective delivery. This Worldwide Assignment may be executed in one or more counterparts, each of which when so executed and delivered shall be an original, and such counterparts shall together constitute one and the same instrument.

IN WITNESS WHEREOF, this Worldwide Assignment has been executed below by the

undersigned:

Op de laatste bladzijde staan de namen van [gedaagde 1] en [persoon A] en van EMD en Soniq Force en daaronder (steeds) handtekeningen.

3.9.

[gedaagde 1] heeft in 2022 de PCT-aanvraag aan zichzelf overgedragen. Daarvan is een document getiteld Worldwide Assigment opgesteld dat [gedaagde 1] heeft ondertekend en waarop de (onjuiste) datum 24 maart 2021 staat.

3.10.

Namens [gedaagde 1] heeft een advocaat op 16 februari 2022 de WIPO verzocht de tenaamstelling van aanvrager van de PCT-aanvraag te wijzigen in zijn naam. De WIPO heeft dit verzoek ingewilligd op 17 februari 2022.

3.11.

De Amerikaanse advocaat van Soniq Force heeft [gedaagde 1] gesommeerd en verzocht om, onder meer, onvoorwaardelijk te bevestigen dat Soniq Force de exclusieve rechten heeft op de SSD technologie, de aanvragen te respecteren en de overeenkomsten daartoe na te komen. [gedaagde 1] heeft daar geen gehoor aan gegeven.

3.12.

De PCT-aanvraag is inmiddels beland in de nationale/ regionale fase. Er lopen nationale/regionale octrooiaanvragen in de Verenigde Staten, Canada, Mexico en Europa. Het gaat om:

• US 2022/0282915 A1 (Productie EP17);

• CA 3 149 021 A1 (Productie EP18);

• MX/A/2022/002495 (Productie EP19); en

• EP 4 022 236 (Productie EP20).

3.13.

[gedaagde 1] heeft [persoon E] , CEO van het bedrijf ADAR Technologies LLC (machtiging tot uitoefening van de) rechten onder de in 3.12. vermelde aanvragen in de VS, Canada en Mexico verleend. [gedaagde 1] is bij ADAR in dienst getreden als Chief Technology Officer.

3.14.

Soniq Force heeft een legal opinion van 9 augustus 2023 met betrekking tot Soniq Force overgelegd. Daarin staat:

SECTION 1.Documents Reviewed. For purposes of this opinion letter:

1.1

We have examined originals or copies, certified or otherwise identified to our

satisfaction, of such documents, corporate records, certificates of public officials and other instruments and have conducted such other investigations of fact and law as we have deemed necessary or advisable for purposes of this opinion, including, without limitation:

i. the Limited Liability Company Articles of Organization of SoniQ Force,

LLC (…) attached as Exhibit A to this letter (the "
Articles of Organization"); and

ii. the Limited Liability Company Amendment to Articles of Organization filed with the Wyoming Secretary of State on March 4, 2020 attached as Exhibit B to this letter (the "
Articles Amendment").

As to the various matters of fact material to this opinion, we have been furnished with, and have relied upon the Certificate of [persoon D] (" [persoon D] ") dated August 9, 2023 (the "
Member's Certificate"). To the extent that any statement of fact made by [persoon D] in the Member's Certificate is qualified by [persoon D] 's "knowledge," we have assumed for the purposes of rendering the opinions in this letter that the underlying statement of fact made by [persoon D] is true as though it was not qualified by knowledge, information or belief.

The Articles of Organization, as amended by the Articles Amendment, are collectively referred to herein as the "
Articles." (…)

We are admitted to practice in the State of Wyoming. The opinions rendered herein are

limited to the laws of the State of Wyoming, including the Wyoming Limited Liability Company

Act, Wyoming Statutes §§ 17-29-101 et. seq. as revised or amended (the "
Company Act"). We

express no opinion concerning the laws of any other jurisdiction.

SECTION 2.
Assumptions.

2.1

The opinions expressed below are subject to the assumptions, limitations, exceptions and qualifications set forth in this letter. (…).

2.2

As to all questions of fact material to this opinion letter, we have relied (without independent investigation, except as expressly indicated herein) upon affidavits, certificates or comparable documents of representatives of the Company.

2.3

We have assumed that the Company was validly existing and in good standing in the state of Wyoming at all times during its existence and authorized to conduct its business in all relevant jurisdictions at all times during its existence.

2.4

With your permission, we have assumed that:

a) the members of the Company have not entered into an operating agreement for the Company;

b) at all times during the existence of the Company, [persoon D] has been and continues to be a member of the Company;

c) all right, title and interest in and to the IP (as defined below) was properly assigned to the Company on September 12, 2020 by [gedaagde 1] and [persoon A] by virtue of that certain Worldwide Assignment executed on September 12, 2020, a copy of which is attached to this letter as Exhibit C; and

d) the purported assignment of the IP from the Company to [gedaagde 1] pursuant to that certain Worldwide Assignment dated March 24, 2021, a copy of which is attached to this letter as Exhibit D (the "Purported Assignment"), was not approved, authorized, or consented to by any of the members of the Company other than [gedaagde 1] , and such Purported Assignment was outside the ordinary course of the activities of the Company.

For purposes of this opinion letter, the term "IP" means the Supersonic Dehydration and Disinfection System and Method (the "Invention") described and claimed in U.S. Provisional Patent Application No. [nummer 1] (the "Provisional Application") filed on August 29, 2019, and certain additional modifications and improvements thereto (collectively the "Improvements") described and claimed in International Patent Application No. [nummer 2] (the "PCT Application") filed August 28, 2020.

SECTION 3.Opinions.Based upon the foregoing and in reliance thereon and on the assumptions and subject to the qualifications and limitations set forth in this opinion letter, we are of the opinion that:

3.2

Based upon our review of the Articles and the representations to us in the Member' s Certificate that the Company and its members have not adopted or entered into an operating agreement for the Company, or any other agreement, whether oral or in record, implied, or in any combination thereof, which meets the definition of an "Operating Agreement" under Wyoming Statute § 17-29-102 ( a)(xiv) we are of the opinion that:

a) the Company is a member-managed limited liability company pursuant to Wyoming Statute § 17-29-407;

b) The management and conduct of the Company are vested in the members;

c) Each member of the Company has equal rights in the management and conduct of the Company's activities;

d) Matters in the ordinary course of the activities of the Company may be decided by a majority of the members; and

e) The sale, lease, exchange or other disposal of all, or substantially all, of the Company's property outside of the ordinary course of business of the Company, or any other act outside the ordinary course of the activities of the Company, may be undertaken only with the consent of all members.

3.3

Pursuant to Wyoming Statute § 17-29-901, a member of the Company may maintain a direct

action against another member of the Company, or the Company, to enforce the member's rights and otherwise protect the member's interests.

3.4

Pursuant to Wyoming Statute § 17-29-902, a member of the Company may maintain a derivative

action to enforce a right of the Company if:

(i) The member first makes a demand on the other members of the Company, requesting that they cause the Company to bring an action to enforce the right, and the members do not bring the action within a reasonable time; or

(ii) A demand under subparagraph (i) above would be futile.

3.5

As a member of the Company, [persoon D] is entitled to engage legal counsel in such jurisdictions as he deems necessary or appropriate to enforce his rights or the Company' s rights described in Section 3.3 or 3.4 above.

3.6

As an act outside the ordinary course of the Company's activities, the Purported Assignment of the IP from the Company to [gedaagde 1] required the unanimous consent of all the members of the Company.

3.7

The Purported Assignment was not validly authorized by the Company since it lacked the consent of all members of the Company.

3.8

A member of the Company owes to the Company and the other members the fiduciary duties of loyalty and care as set forth in Wyoming Statute § 17-29-409(b) and (c). The duty of loyalty includes the duty to:

(i) account to the Company and to hold as trustee for it any property, profit or benefit derived by the member in the conduct of the Company's activities, or the use by a member of the Company's property, or from the appropriation of a Company opportunity;

(ii) refrain from dealing with the Company in the conduct of the Company's activities as a person having an interest adverse to the Company; and

(iii) to refrain from competing with the Company in the conduct of the Company's activities.

The duty of care includes the duty to:

to act with the care that a person in a like position would reasonably exercise under similar

circumstances and in a manner the member reasonably believes to be in the best interests

or at least not opposed to the best interests of the company.

Based upon the foregoing, it is our opinion that the Purported Assignment of the IP from the

Company to [gedaagde 1] , which was executed by [gedaagde 1] in favor of himself and was not approved by the other members of the Company, was a violation of [gedaagde 1] ' fiduciary duties of loyalty and care owed to the Company and the other members under Wyoming Statute § 17-29-409.

SECTION 4.Qualifications and Limitations. Our opinions are based on the assumptions (upon

which we have relied with your consent) and subject to the qualifications and limitations, set forth in this letter (to the extent that such assumptions are relevant to any of the opinions expressed herein), including the following:

4.1

We express no opinion with respect to (i) the truth of the factual representations and warranties

contained in the Opinion Documents or (ii) any document or agreement other than the Opinion Documents, regardless of whether such document or agreement is referred to in the Opinion Documents.

4.2

We express no opinion as to any laws other than the laws of the State of Wyoming.

3.15.

De advocaat van Soniq Force heeft op 10 augustus 2023 een sommatiebrief gestuurd naar gedaagden. Daarin staat:

“Dear Mr. [gedaagde 1] ,

(…)

As you are aware, [gedaagde 2] (" [gedaagde 2] ") has signed a Letter of Commitment for [gedaagde 2] and Grant of Rights for North America dated 9 August 2019 (the "LoC") with BIO 520 LLC. You signed the Loc on behalf of [gedaagde 2] being an independently authorized representative.

The LoC contains third party clauses whereby [gedaagde 2] , amongst others, grants a to-beestablished US company, a "NewCo", certain exclusive rights regarding the supersonic drying ("SSD") technology developed by [gedaagde 2] in the US, US territories, Canada and Mexico. The SSD technology is currently the subject of national patent applications resulting from the PCT application with publication number WO 2021/038521 (the "PCT-application"), US 2022/0282915 Al, CA 3 149 021 Al, MX/A/2022/002495 and EP 4 022 236 Al (the "national applications") all of which claim priority from US Provisional Patent Application No. [nummer 1] (the

"Provisional Application") entitled "Supersonic Dehydration and Disinfection System and Method".

As you know, SoniQ Force LLC is the "NewCo" referred to in the Loc. SoniQ Force was established for the sole purpose of exploiting its rights to the SSD technology as granted in the Loc.

NB. For the avoidance of doubt and to the extent required and not already done so, SoniQ Force hereby confirms that it accepts the third party clauses in the Loc.

You will also be aware of the subsequent worldwide assignment of the Provisional Application and the PCT-application and any further applications arising therefrom to SoniQ Force, which took place on from the 10th to the 12th of September 2020 (the "Assignment"). This Assignment was signed by you in your personal capacity and you witnessed the signing on behalf of Een Mooie Dag B.V. ("EMD") by [persoon A] , its "Managing Director". This Assignment was a fulfilment of the obligation by EMD and [gedaagde 2] under the Loc to give exclusive rights to the technology in the PCT-application and the national applications to SoniQ Force. Subsequently, and in line with the Assignment, you provided the Assignment to your US lawyer/patent and trademark agent at Moffat & Co. and instructed them to file it at the WIPO in order to get the PCT-application on SoniQ Force's name.

It has come to SoniQ Force's attention that on the 16th of February 2022, WIPO was notified of an 'assignment' of the PCT-application from the applicant, SoniQ Force, to you personally. You signed this document both as purported managing partner of SoniQ Force, the "Assignor", and in your personal capacity, as the "Assignee." Notably, you were never authorised to execute this 'assignment' on behalf of SoniQ Force. Upon receipt of this unauthorized assignment, the PCT-application was put in your personal name. As a result, the national applications resulting from the PCTapplication also list you in your personal capacity as the applicant.

Recently, it has further come to SoniQ Force's attention that you started a new role as chief technology officer at US company ADAR technologies. Based on ADAR technologies' website (adartech.com), ADAR technologies exploits, or intends to exploit, the SSD technology in (at least) the US. In addition, SoniQ Force has come into the possession of a document wherein you, claiming to be the legal owner of the national applications, grant a power to Mr [persoon E] , chief executive officer of ADAR technologies to exploit SSD equipment.

The above-described assignment of the national applications to your personal name is unlawful, and the assignment and grant of rights to ADAR technologies constitute material breaches of the Lo, SoniQ Force holds [gedaagde 2] and yourself liable for all losses incurred and to be incurred in connection with the foregoing. SoniQ Force therefore demands that unconditional confirmation be given in writing that:

- the national applications will forthwith be transferred back to SoniQ Force, being the party that rightly holds the national applications under the Assignment and the LoC;

- SoniQ Force holds the exclusive rights to the SSD technology;

- SoniQ Force holds exclusive possession, custody, and control of the SSD machine, Serial Number ending in -002 in accordance with the LoC; and

- you will cease violating SoniQ Force's exclusive rights, by, inter alia, terminating the grant of rights to Mr [persoon E] and ADAR technologies. (…) ”

3.16.

[gedaagde 1] heeft deze sommatiebrief beantwoord met een (ongedateerde) aangetekende brief waarin staat:

“Bijgaande brief heb ik afgelopen donderdag 17 augustus na thuiskomst van mijn vakantie aangetroffen.

Ik heb echter geen idee waarover dit gaat; ik was op 9 augustus 2019 geen eigenaar, bestuurder of werknemer van [gedaagde 2] .”

3.17.

[gedaagde 1] heeft in een e-mailbericht van 25 september 2023 aan de advocaat van Soniq Force meegedeeld:

“Ik heb Soniq Force op 6 februari 2022 geïnformeerd dat ik de samenwerking niet voortzet. Dat heb ik nogmaals per email bevestigd op 6 juni 2022 en op 18 augustus 2022. Ik heb hierna verschillende voorstellen gedaan om tot een vergelijk te komen, waar niet door Soniq Force op is gereageerd. Ook heeft mijn Amerikaanse advocaat verschillende pogingen gedaan om in contact met SoniQ Force te komen, wat geweigerd werd. Het z.g. ‘zeer spoedeisende belang’ van Soniq Force is daarmee niet aan de orde.

Uw brief van 10 augustus was verkeerd gericht en bevatte onjuistheden zodat wij daar inhoudelijk niet op konden ingaan. Ik heb u hierover bericht en u heeft daarop niet gereageerd. Bovendien stelde die brief geen enkele mogelijkheid tot inhoudelijk verweer en was niet duidelijk wat precies geclaimd werd. Dit werd pas afgelopen vrijdag in de namiddag duidelijk. Gezien de hoeveelheid producties die u heeft voorbereid is het alleszins redelijk en billijk dat wij tijd krijgen dit goed voor te bereiden. Tot slot wijs ik erop dat is geen enkel rechtsgeldig contract bestaat tussen mij en Soniq Force. Het is mij derhalve onduidelijk op welke grond u deze zaak denkt te voeren.”

4.Het geschil

4.1.

Soniq Force vordert bij vonnis, voor zover mogelijk uitvoerbaar bij voorraad:

(i) Gedaagden binnen twee werkdagen vanaf de datum van betekening van het te dezen te wijzen vonnis te verbieden om de exclusieve rechten van SoniQ Force op de PCT aanvrage en/of nationale aanvragen te schenden, door zelf de handelingen zoals beschreven in nr. 13 LoC uit te voeren dan wel derden daartoe rechten te verstrekken, op straffe van een onmiddellijk opeisbare dwangsom;

(ii) [gedaagde 1] binnen 5 werkdagen vanaf de datum van betekening van het te dezen te wijzen vonnis te bevelen de noodzakelijke handelingen te verrichten bij de nationale verleningsinstanties om ervoor te zorgen dat SoniQ Force weer als aanvrager van de PCT-aanvrage en nationale aanvragen zoals gedefinieerd in het lichaam van de dagvaarding wordt, door aangetekende brieven met de volgende inhoud (dan wel een door de voorzieningenrechter in goede justitie te bepalen inhoud) te versturen:

4.2.

Gedaagden voeren gemotiveerd verweer.

5.De beoordeling

rechtsmacht

5.1.

Partijen wonen en zijn gevestigd in verschillende landen. De Nederlandse rechter komt rechtsmacht toe omdat [gedaagde 1] in Nederland woont en [gedaagde 2] daar gevestigd is (artikel 4 lid Vo Brussel I-bis. Uit de rechtspraak van het Hof van Justitie volgt dat deze verordening ook toepassing vindt in het geval dat, zoals hier, de eisende partij buiten de EU gevestigd is.

5.2.

Het geschil is aangebracht bij de voorzieningenrechter van de rechtbank Rotterdam. In een aantal gevallen is (de voorzieningenrechter van) de rechtbank Den Haag exclusief bevoegd om kennis te nemen van geschillen over octrooirechten. Beoordeeld moet worden of de vorderingen binnen de reikwijdte van die exclusieve bevoegdheid vallen.

5.3.

De exclusieve bevoegdheid van de (voorzieningenrechter) rechtbank Den Haag is geregeld in de Rijksoctrooiwet 1995 (hierna: ROW 1995). De exclusieve bevoegdheid geldt kort gezegd in gevallen waarin een
octrooihouderin rechte opkomt. Soniq Force is echter geen octrooihouder. Soniq Force is, naar zij stelt, de rechtmatige
octrooiaanvrager.Octrooi is echter (nog) niet verleend aan Soniq Force. Aanvragers van een octrooirecht die bescherming in rechte zoeken, komt geen recht op toepassing van de exclusieve bevoegdheidsregels in de ROW 1995 toe (art. 80 lid 2 ROW 1995 sub a, gelezen in verbinding met de artikelen 70 t/m 73 ROW 1995). Daarom geldt in dit geval artikel 83 lid 1 ROW 1995, dat bepaalt: “Van alle andere geschillen dan in de artikelen 80 en 81 bedoeld wordt kennis genomen door de rechter die daartoe volgens de algemene regeling der rechtspraak bevoegd is.” Een beroep op relatieve onbevoegdheid van de voorzieningenrechter is niet gedaan.

5.4.

Partijen zijn geen rechtskeuzebeding overeengekomen. De vraag welk recht van toepassing is op de rechtsverhouding tussen partijen dient, voor zover sprake is van een contractueel geschil, te worden beoordeeld aan hand van de Verordening Rome I, voor zover nodig gelezen in verbinding met artikel 10:154 BW. Voor zover het gevorderde gebaseerd is op niet-contractuele aansprakelijkheid (onrechtmatige daad) moet het geschil worden beoordeeld aan de hand van het recht dat Verordening Rome II aanwijst, zo nodig gelezen in verbinding met artikel 10:159 BW (dat een soortgelijke bepaling is als artikel 10.154 BW).

5.5.

Welk recht in dit geval van toepassing is kan in het midden blijven omdat de vordering hoe dan ook niet toewijsbaar is. De voorzieningenrechter is voorshands van oordeel dat geen sprake is van het voor het treffen van een voorziening vereiste spoedeisend belang. Bovendien is niet voldoende aannemelijk dat Soniq Force de rechtmatige houder van de aangevraagde octrooirechten is. Daartoe wordt als volgt overwogen.

5.6.

Het geschil komt op het volgende neer: [gedaagde 1] en [persoon A] zijn de uitvinders van de SSD- techniek. Van de eerste overeenkomst, de LoC, is tussen partijen niet in geding dat die rechtsgeldig is. Die overeenkomst komt erop neer dat Soniq Force een licentie verkrijgt en een machine koopt om de SSD- techniek toe te passen. Van de tweede overeenkomst (de
Worldwide Assignment, door Soniq Force aangeduid als de overdrachtsovereenkomst) is de rechtsgeldigheid wel in geding. Gedaagden betwisten stellig dat het hun handtekening is die onder deze overeenkomst staat. Deze tweede overeenkomst heeft als strekking dat Soniq Force de aangevraagde octrooirechten koopt van de rechthebbenden.

Daar doorheen loopt een ondernemingsrechtelijk geschil. Soniq Force is een onderneming naar het recht van de staat Wyoming en zij heeft drie “members.” De voorzieningenrechter begrijpt dat deze members een soort van vennoten in een personenvennootschap zijn. De drie members zijn [gedaagde 1] , [persoon B] en [persoon D] .

[persoon B] is een zakenman die contacten heeft met (potentiële) investeerders. [persoon D] is een Amerikaanse investeerder die voor het geld moest zorgen om de octrooiaanvragen te betalen en de onderneming uit te bouwen. [persoon B] is inmiddels buiten beeld geraakt. Volgens gedaagden is hij de Verenigde Staten uitgezet omdat zijn verblijfsvergunning was verlopen en is hij aan lager wal geraakt vanwege een alcoholverslaving.

Soniq Force stelt dat [gedaagde 1] naar het recht van de staat Wyoming niet de bestuursbevoegdheid had om zonder toestemming van de andere twee members de octrooiaanvraag op zijn naam te stellen en de octrooirechten uit Soniq Force te halen/ deze aan zichzelf (terug) te leveren.

spoedeisend belang

5.7.

De voorzieningenrechter dient, zo nodig ambtshalve, te beoordelen of sprake is van een spoedeisend belang dat vereist is voor het treffen van een voorziening in kort geding. In dat oordeel dienen alle omstandigheden van het geval te worden meegewogen.

5.8.

De voorzieningenrechter acht het spoedeisende belang in dit geval niet aanwezig. Soniq Force heeft te lang getalmd met het instellen van de kort gedingprocedure. Soniq Force stelt in de dagvaarding “Zo heeft in maart 2022 een demo van de SSD technologie plaatsgevonden in Biloxi, in de staat Mississippi. Op deze demo heeft [persoon E] zich eveneens getoond. Hier heeft hij uitlatingen gedaan dat ADAR de exclusieve distributierechten heeft van SSD. De nasleep van de uitlatingen van [persoon E] was dat klanten van SoniQ Force contact met haar opnamen en hun zorgen uitten over de onzekerheid met betrekking tot de distributierechten […]. Hierdoor is het vertrouwen van klanten in SoniQ Force afgenomen.” Soniq Force wist dus al in, of kort na, maart 2022 dat een ander bedrijf waarbij [gedaagde 1] betrokken is, de rechten aan het exploiteren was waarvan Soniq Force zich als de rechtmatige houder beschouwt. De beide dagvaardingen zijn pas op 27 september 2023 betekend. Daar zit ongeveer anderhalf jaar tussen.

De voorzieningenrechter heeft ter zitting aan Soniq Force gevraagd waarom dan niet eerder een procedure tegen [gedaagde 1] in de VS is opgestart. Daar kwam geen goed antwoord op. Volgens Soniq Force heeft [gedaagde 1] geen “assets” (vermogensbestanddelen) in de VS zodat executie van een vonnis daar moeilijk kan worden. Dit antwoord miskent het volgende.

1) [gedaagde 1] heeft wel vermogensbestanddelen in de VS want hij is de aanvrager van de octrooirechten in de VS. Die rechten vertegenwoordigen volgens beide partijen een aanzienlijke commerciële waarde. Executie van een geldvordering in de VS lijkt dus mogelijk. Overigens bestaan er mogelijkheden om een buitenlands vonnis in Nederland in aanmerking te laten komen voor erkenning en tenuitvoerlegging.

2) Het gaat niet alleen om een geldvordering. Het gaat ook om de vaststelling in rechte wie nu eigenlijk de rechtmatige houder is van de aangevraagde octrooirechten. Een dergelijke procedure heeft meer de aard van een verklaring voor recht. Daarbij speelt (zonder nadere toelichting die niet gegeven is) niet, of althans wezenlijk minder, de vraag of een geldelijke veroordeling van [gedaagde 1] kan worden verhaald op zijn vermogen in de VS.

Soniq Force stelde verder dat zij, met behulp van advocaten in de VS, eerst getracht heeft om in onderling overleg tot een vergelijk met [gedaagde 1] te komen. Op zich is dat een begrijpelijke handelwijze, maar ongeveer anderhalf jaar lang wachten is te lang. [gedaagde 1] heeft onweersproken gesteld dat hij in 2022 meermaals aan Soniq Force heeft laten weten dat hij niet meer met haar in zee wilde gaan. Dat er, zoals Soniq Force ook nog stelde, inmiddels deadlines bij de octrooiaanvragen dreigen te gaan verlopen en de nodige rekeningen betaald moeten worden voor die aanvragen, was ook al veel eerder voorzienbaar voor Soniq Force.

wie is rechtmatig houder van de aangevraagde octrooirechten?

5.9.

Het is bovendien onvoldoende aannemelijk dat Soniq Force de rechtmatige houder is van de aangevraagde octrooirechten. Er zijn argumenten die voor, en argumenten die tegen het standpunt van Soniq Force pleiten. Ten voordele van Soniq Force pleit dat gedaagden ontkennen dat zij hun handtekening hebben geplaatst onder de “overdrachtsovereenkomst” terwijl zij tegelijkertijd erkennen dat de aangevraagde octrooirechten op enig moment bij Soniq Force waren ondergebracht (ze waren daar “geparkeerd”, in de woorden van gedaagden). Volgens gedaagden, zo begrijpt de voorzieningenrechter, was dit een handeling van beperkte betekenis die louter bedoeld was om investeerders in de Verenigde Staten te vinden.

De gestelde overdrachtsovereenkomst is een onderhandse akte. Naar Nederlands procesrecht – welk recht de Nederlandse rechter moet toepassen ongeacht welk materieel recht toepasselijk is op de rechtsverhouding tussen partijen – geldt de regel dat een onderhandse akte waarvan de ondertekening door de partij, tegen welke zij dwingend bewijs zou opleveren, stellig wordt ontkend, geen bewijs oplevert zolang niet bewezen is van wie de ondertekening afkomstig is. Er is sprake van een stellige ontkenning door gedaagden. Er is dus nader onderzoek nodig naar de vraag of de handtekeningen wel/ niet geplaatst zijn door [gedaagde 1] en [persoon A] . Daarbij valt te denken aan een door de rechtbank benoemde deskundige die de echtheid van de handtekeningen onderzoekt. Maar de onderhavige procedure is een kort gedingprocedure. Daarin is geen plaats voor dit nadere onderzoek. Daarvoor is een bodemprocedure de meer geëigende procedure.

5.10.

Ten nadele van het standpunt van Soniq Force pleit het volgende.

5.10.1.

De LoC gaat er van uit dat Soniq Force slechts een licentie verkrijgt, maar niet dat zij de rechtmatige houder van de aangevraagde octrooirechten wordt. Het standpunt van Soniq Force wijkt daarmee af van de vooraf overeengekomen bedoeling.

5.10.2.

Het geschil lijkt uitsluitend te spelen in de verhouding tussen [persoon D] en [gedaagde 1] . De derde member in de onderneming, [persoon B] , lijkt het eens te zijn met gedaagden. Gedaagden beroepen zich op een aantal producties die dit aannemelijk maken. Zij leggen een transcriptie over van een telefoongesprek dat volgens hen heeft plaatsgevonden op 13 februari 2022 tussen een vriend van [gedaagde 1] (genaamd [persoon F] , in de transcriptie aangeduid als DN, en [persoon B] , aangeduid als PB). In die transcriptie staat onder meer:

“00:33:50 DN: Because what we're talking about here is the establishment of [voornaam gedaagde 1] in the rightful ownership of this.

00:33:58 PB: Nobody ever disputed that. And are not disputing it now.

(…)

00:43:03 PB: You ask for five different things that you've said you really need to sort out. One is the IP (
intellectual property, toevoeging voorzieningenrechter) in your name. I discussed that with [voornaam persoon D] (zijnde [persoon D] , de derde member, toevoeging voorzieningenrechter) and [persoon G] (broer van [persoon D] , toevoeging voorzieningenrechter), and they said not a problem.

You put it wherever [voornaam gedaagde 1] wants to in his name or in his wife.

As friends, l've never had a dispute with [voornaam gedaagde 1] on anything in 20 years and now all of a sudden we've got this situation and I assure you [voornaam persoon E] , without any question, there is, 1 have not consciously signed or recall signing any such document that would compromise the interest of [voornaam gedaagde 1] . The other day [voornaam gedaagde 1] sent me an e-mail that said he would like the IP filed in his name. So that's what we agreed to do. I talked about it with [persoon H] and they said not a problem.

(…)

"01 :05:57 DN: I'm asking the question that I need to go and then I will explain to you a vision that I have, and I think you're really going to like it. Alright, so the question that I have is if [voornaam gedaagde 1] , as the managing partner of Sonic Force LLC, which is how it is signed on that page 41 for as the IP holder, he is authorized by you as if you are still a managing partner of that entity.

01:07:19 PB: Yeah, of course.

01:07:21 DN: Listen, listen carefully. You are authorizing him to do whatever is necessary to recover the IP. Place it in his name such that we can start this new contract we're talking about tomorrow.

01:07:37 PB: Absolutely, l've got no problem with that, and l've discussed that with [voornaam persoon D] and [persoon G] before they went down to LA. And they said not a problem."

(…)

"01:15:40 PB: I'm not opposing any of this, it's not my IP.

(…)

01 :22:49 PB: There's a difference between the ownership of the IP and the authorized use of the IP to say manufacture in the USA, distribute and import, provide sales and support services and all the things that are necessary to develop a business in the territory of North America, and that was the original spirit of the agreement”

En in een email van 14 april 2022 schrijft [persoon B] aan [gedaagde 1] onder meer:

“Please be absolutely clear on this. G&R do not want to be involved with the IP ownership, or copyright. All they want is tot see the business a success, in the NAFTA territory as I originally agreed with you.

(…)

They don't want your IP. They don't want copyright. They have no interest to dilute you. I'm interested in SSD business only, and in NAFTA only. The rest of the world is yours, to play with. License or whatever.”

Uit deze geschriften volgt dat [persoon B] namens [persoon D] heeft meegedeeld dat ook [persoon D] meent dat de octrooirechten bij [gedaagde 1] horen. Ook overigens heeft het er alles van dat [persoon B] steeds als spreekbuis van [persoon D] heeft gediend.

5.10.3.

Soniq Force betoogt dat naar het recht van de staat Wyoming, dat toepasselijk is op de vennootschappelijke verhoudingen binnen haar onderneming, het [gedaagde 1] , als één van haar drie members, niet was toegestaan om zonder toestemming van de twee andere members de aangevraagde octrooirechten op zijn eigen naam te stellen. Maar als dat zo evident ongeoorloofd is dan rijst de vraag waarom heeft Soniq Force daarover dan niet veel eerder een procedure in de VS is gestart, in plaats van ervoor te kiezen om pas nu een kort gedingprocedure in het verre Nederland te beginnen? Dat biedt steun aan het standpunt van gedaagden dat de kort gedingprocedure in Nederland wordt gevoerd omdat Soniq Force van een procedure in de VS geen heil verwachtte – wat bevestigd lijkt te worden door de uitlating ter zitting dat de Amerikaanse procedure is “doodgelopen” – en het daarom maar op vreemde bodem probeert.

5.11.

Het gevorderde wordt dus afgewezen. Soniq Force wordt als de in het ongelijk gestelde partij worden veroordeeld in de proceskosten van gedaagden. Deze kosten worden begroot op € 2.295 en bestaan uit € 676 aan griffierecht en € 1.619 aan salaris advocaat (tarief complex kort geding). De proceskostenveroordeling wordt, zoals gedaagden verlangen, uitvoerbaar bij voorraad worden verklaard en worden vermeerderd met de wettelijke rente in het geval Soniq Force de proceskosten niet tijdig vergoedt.

6.De beslissing

De voorzieningenrechter

6.1.

wijst het gevorderde af,

6.2.

veroordeelt Soniq Force in de proceskosten van gedaagden, tot op heden begroot op € 2.295, vermeerderd met de wettelijke rente vanaf 7 dagen na het eerste betalingsverzoek tot aan de dag der algehele voldoening,

6.3.

verklaart de proceskostenveroordeling uitvoerbaar bij voorraad.
